Alcatel-Lucent merger to create new company: ‘Alcatel Lucent’

WASHINGTON, D.C.—Without any fanfare, deservedly, Lucent Technologies Inc. filed a document with the Securities and Exchange Commission stating that once its acquisition by Alcatel Inc. closes, the combined company will be called Alcatel Lucent.

The SEC filing contains a letter from Lucent in which the company invites its shareholders to a Sept. 7 meeting in Wilmington, Del.—where Lucent is incorporated—to vote on the proposed deal with Alcatel. Lucent’s board has already blessed the deal, having voted unanimously to approve it.

The acquisition is expected to close by the end of this year and spells out that Lucent investors will own about 40 percent of the combined company, with Alcatel shareholders holding the rest.
