SAN DIEGO-Leap Wireless International Inc. said it completed a public offering of 6.4 million shares of common stock for $42 per share.
The sale included 840,000 shares of common stock sold as part of an over-allotment option granted to the underwriters, which included Goldman, Sachs & Co. and Citigroup Corporate and Investment Banking.
Leap announced last month that it had entered into a forward sale agreement involving 5.6 million shares of its common stock. Leap said it planned to use proceeds from that sale for general corporate purposes and working capital, including the acquisition of wireless licenses and/or the repayment of bridge loans used to acquire wireless licenses in the Federal Communications Commission’s ongoing advanced wireless services auction.
Leap said it will not receive proceeds from the over-allotment offering unless the forward sales are settled through issuance of common stock or settled in cash depending on the company’s share price at the time of settlement.
