ATLANTA-AirGate PCS Inc. announced that the consent solicitation for its 9.375-percent senior subordinated secured notes due 2009 and its first priority senior secured floating rate notes due 2011 expired Jan. 25, and it has received the necessary approval of proposed amendments from note holders.
The consent solicitation is part of AirGate’s planned merger with Alamosa Holdings Inc. so that neither company will be required to make a repurchase offer for the notes upon completion of the merger.
Following the merger, note holders as of Jan. 10, 2005, will receive a consent payment equal to 0.25-percent of the principal amount of notes represented by consents.
