HAYWARD, Calif.-Certicom Corp., a provider of information security software and services for mobile e-business, filed a registration statement for a proposed public offering of 5 million of the company’s common shares.
The registration statement was filed with the U.S. Securities and Exchange Commission but has not yet become effective. The company also filed a preliminary short-form prospectus with the securities commission of Canada, pursuant to the United States/Canada Multijurisdictional Disclosure System.
The lead manager for the offering is J.P. Morgan & Co., and the co-managers are Robertson Stephens, Dain Rauscher Wessels, Wit SoundView, TD Securities Inc. and Yorkton Securities Inc.
