ALEXANDRIA, Va.-A special meeting of Metrocall Inc. shareholders will be held Nov. 6 to approve the proposed merger of A+ Network Inc. with the company. Shareholders of record on Oct. 4 will be allowed to attend and vote.
Metrocall also said it will commence a tender offer for outstanding senior subordinated notes due 2005 of A+ Network. It also will seek consent to amend the notes to eliminate restrictive covenants and certain events of default. The consent solicitation will expire Oct. 23, and the tender offer will expire Nov. 6.
Horizon Cellular ups tender price
NEW YORK-Horizon Cellular Telephone Co. increased the purchase price in the tender offer for its senior subordinated discount notes to $952.37 plus a consent fee of $20.
Holders who consent to the proposed amendments and tender their notes by the Oct. 15 deadline will receive aggregate cash payments of $972.37 for each $1,000 principal amount of notes. Horizon said it will make payments on or around Oct. 21.
