TEST COMPANIES WAVETEK AND W&G AGREE TO MERGE

HANNOVER, Germany-Test equipment companies Wandel & Goltermann Management Holding GmbH and Wavetek Corp. announced they agreed to merge. The transaction, subject to execution of definitive agreements and stockholder and regulatory approvals, is expected to close within the next several months.

Terms of the merger were not disclosed.

Based in Eningen, Germany, Wandel & Goltermann specializes in testing telecommunications and data communications equipment, while Wavetek of San Diego, California, in the United States specializes in the areas of cable TV and wireless communications testing.

The merged company will employ more than 2,400 people in 87 countries, said the two parties.

Terence Gooding, Wavetek chairman and chief executive officer, will serve as the new company’s chairman of the board of directors; Peter Wagner, president and chief executive officer of Wandel & Goltermann, will retain those positions with the combined company; and Wavetek President and chief operating officer Derek Morikawaa will remain COO in the new company.

The parent organization for the merged companies will be incorporated in the United States and operate corporate offices in both the United States and Germany, said Wavetek and Wandel & Goltermann.
