AIRTOUCH OFFERS $200 MILLION IN NOTES

SAN FRANCISCO-AirTouch Communications Inc. announced a public offering of $200 million of 6.35 percent capital notes due June 1, 2005.

The notes, which were priced to yield 6.36 percent, are offered through Morgan Stanley Dean Witter, Lehman Brothers, J.P. Morgan & Co. and Salomon Smith Barney.

Proceeds will be used to retire commercial paper issued in connection with the company’s acquisition of the domestic wireless business of MediaOne Group.
