WASHINGTON-Warburg, Pincus & Co. will rename its CIS Acquisition Corp. business and is restructuring its ownership details in a bid to win approval from the Federal Communications Commission for its intended takeover of Lockheed Martin Corp.’s Communications Industry Services business.
CIS Acquisition Corp. will now be known as NeuStar Inc. NeuStar will be a free-standing, independent company, both Warburg Pincus and Lockheed Martin said in documents filed Aug. 16 at the FCC. Specific details of NeuStar’s ownership structure and leadership also were filed.
Lockheed Martin is the North American Numbering Plan Administrator and local number portability administrator. NANPA is responsible for the equitable allocation of numbering resources.
Warburg Pincus and Lockheed Martin announced the transaction late last year and have gone through a series of comment rounds at the FCC as the agency tries to assure NeuStar will remain a neutral party in administrating numbers. Additional comments on the restructured deal will be presented to the FCC next month.
