PHONE.COM REGISTERS FOR 3.3M SHARE OFFERING

REDWOOD CITY, Calif.-Phone.com Inc. filed a registration statement with the Securities and Exchange Commission proposing to offer up to 3.3 million additional shares of its common stock.

Of the total, 1 million will be sold by the company, with the remaining 2.3 million sold by former preferred stock holders, employees, management and former shareholders of APiON Telecoms Ltd. Phone.com completed its acquisition of APiON Oct. 28.

Credit Suisse First Boston Corp.; Goldman, Sachs & Co.; BancBoston Robertson Stephens; Hambrecht & Quist; and U.S. Bancorp Piper Jaffray will manage the offering. Collectively, they will have the option to buy 495,000 more shares in their roles as underwriters.

Phone.com additionally announced that KenTech Inc., an Internet systems integrator and wireless Internet application developer, joined the Phone.com Alliance Program.
