SEC questioning Motorola

Motorola Inc. has said that the Securities and Exchange Commission made an informal inquiry into the company’s possible breach of the fair disclosure regulation.

While denying any wrong doing, company spokesman Scott Wyman said he would not characterize it as a probe.

He said the inquiry was triggered by Motorola’s discussions with analysts after it released its earnings report on Feb. 23.

“We cooperated with them,” he said, insisting that the company did not disclose any improper information to analysts.

Wyman said some media outlets suggested that it was strange that analysts revised the company’s earnings downward after the meeting.

The Rule FD, which was enacted last October, stipulates that companies disclose market information fairly to the public.

Lucent Technologies Inc. is under SEC’s investigation for the same reason.
