AI agents AI ‘for all’ – ServiceNow to acquire Moveworks for $2.85bn

Workflow automation software provider ServiceNow is to buy US-based AI outfit Moveworks for $2.85 billion as it seeks to “accelerate enterprise AI adoption” and deliver “AI agents for all employees”. ServiceNow said it will combine its agentic AI and automation tools with Moveworks’ front‑end AI assistant and enterprise search technology. They will “unlock new experiences for every employee for every corner of the business”, they said.

Moveworks, headquartered in Mountain View in California, has 500-odd staff (“AI experts”); its agentic AI assistant is used by big firms including Hearst, Instacart, Palo Alto Networks, Siemens, Toyota, and Unilever – for front‑end employee automations for sales, CRM, finance, and HR. Total usage has reached “nearly five million employee users” in about 18 months, said a statement. Nearly 90 percent of its customers deploy its AI agent for all staff.

For its part, ServiceNow claims “nearly 1,000 AI customers”, and $200 million in annual contract value (ACV) for its so-called Pro Plus AI solution. It is the “fastest‑growing product introduction in the company’s history”, it said. It has deployed “thousands of AI agents already”, it added. ServiceNow is among Moveworks’ “more than 100 technology integrations”; most of its deployments already use ServiceNow as a “system of action” to access enterprise data.

The companies have around 250 customers in common. Combined, they will “be the best agentic AI platform in the market”, they proclaimed. “[We] will redefine the value of how to put AI to work, setting a new standard for the future of employee engagement with a powerful universal AI assistant, along with more perceptive AI‑based enterprise search, to find fast answers to requests, automate and complete everyday tasks, and increase productivity.”

Initial integration work will deliver a unified search and self‑service engine for all “employee requestors across every workflow – all from a single entry point”. They said: “As domain specific AI agents proliferate to accomplish tasks across HR, CRM, finance, IT, and more, ServiceNow’s agent orchestration capabilities will connect, analyze and manage AI agents, ensuring agents work in harmony across tasks, systems, and departments.”

The deal is subject to purchase price adjustments; it will be payable in cash and stock. It is expected to close in the second half of 2025, subject to regulatory approval.
