CORSAIR TO BUY SCI IN $70M DEAL

PALO ALTO, Calif.-Corsair Communications Inc. signed a definitive agreement to acquire Subscriber Computing Inc., a privately held software systems supplier, in a pooling-of-interests transaction valued at approximately $70 million.

Corsair provides distributed system solutions for the wireless industry. Its products include the PhonePrint fraud prevention system and the PhoneCheck equipment performance monitoring application. The company said it also is developing a wireless location solution.

Subscriber Computing develops and markets four major product lines for the wireless industry: customer care, billing and inventory management; Wireless Intelligent Network-based prepaid solutions; fraud detection; and switch data mediation. The company’s systems currently are in place in Europe, North America, Australia, Africa, Asia and South America.

“Our strategy is to grow the company, its customer base, and its product lines rapidly, both through internal efforts and through acquisitions,” said Mary Ann Byrnes, president and chief executive of Corsair.

Byrnes said the acquisition will give Corsair three new lines of business-billing for voice and messaging networks, prepaid solutions and switch data mediation.

Corsair said it expects the acquisition to close during the second quarter, after meeting several conditions including shareholder approval.
