SAIC AND BELLCORE UNION TO CREATE `POWERHOUSE’

SAN DIEGO-Science Applications International Corp. said it finished its acquisition of Bell Communications Research Inc. after receiving regulatory approvals from state public utility commissions.

New Jersey-based Bellcore previously was owned by regional Bell holding companies Ameritech Corp., Bell Atlantic Corp., BellSouth Corp., Nynex Corp., Pacific Telesis Group, SBC Communications Inc. and U S West Inc.

Bellcore will become a wholly owned subsidiary of Science Applications International.

The combined companies said they have estimated annual revenues for this year of nearly $4 billion and employ more than 30,000 science, engineering, software and administrative professionals.

“The union of SAIC and Bellcore has created a powerhouse company with unparalleled capabilities and resources in telecommunications, information technology and technical services,” commented Dr. J. Robert Beyster, founder, chief executive officer and chairman of SAIC.

Beyster became chairman of the Bellcore board of directors upon the close of the transaction.

Dr. John E. Glancy, SAIC’s executive vice president for commercial and international business, was named chief executive officer of Bellcore and vice chairman of the board.

Sanjiv Ahuja will continue as Bellcore’s president and chief operating officer.
