NEW YORK-Coded Communications Corp., a Carlsbad, Calif., developer and supplier of wireless mobile data systems, announced an agreement to acquire Boston-based NetCore Technologies Inc., which provides remote network management and desktop support services.
Under terms of the agreement, NetCore-a privately held subsidiary of Azia Core Ltd., an international investment and consulting company-will exchange all of its assets, liabilities, technologies and licenses for shares of Coded common stock.
Steve Stevenson, a founder and chairman of NetCore and president of Azia, will serve as interim president and chief executive officer of the combined companies. Bryan Williams, president of NetCore, will become chief operating officer.
“This is a strategic move for Coded into the network services markets and provides and exciting opportunity for [the company] to capture new service-related revenues,” said Hugo Camou, chairman and majority shareholder of Coded.
Coded’s wireless mobile data systems are used extensively by municipal fire, police and emergency medical agencies, which require integrated voice and data communications, the company said. It also has provided its expertise to the National Aeronautics and Space Administration to ensure precision digital communications for the Space Shuttle and Mars Pathfinder programs.
NetCore provides outsourced local-area-network and wide-area-network management and desktop services for large- and medium-sized multinational companies.
