LAWSUITS TO STOP MERGER FILED IN DELAWARE COURT

NEW YORK-Six class-action lawsuits have been filed seeking to block the proposed merger between Cellular Communications Inc., based in New York, and AirTouch Communications Inc., headquartered in San Francisco.

CCI officials have said the suits allege the merger would breach “fiduciary duties.” The CCI statement said the complaints are without merit, but CCI officials declined further comment.

CCI is incorporated in Delaware. The lawsuits were filed in Delaware Chancery Court, Wilmington.

A spokesman for the Register in Chancery, the court clerk, referred RCR to Joseph Rosenthal, a Wilmington attorney who represents the plaintiffs. Rosenthal could not be reached for comment.
